ATH Electronics Inc. – Sales Terms & Conditions

1. ACCEPTANCE OF TERMS All sales are subject exclusively to these Terms & Conditions. Buyer acceptance of any quotation, sales order, or delivery constitutes agreement to these terms.

2. PRICING & PAYMENT All prices are in U.S. Dollars. Prepayment by wire transfer is required for international orders unless otherwise approved in writing.

3. NON-CANCELLATION Orders may not be cancelled once accepted or when products are allocated, packaged, or shipped.

4. RETURNS / RMA – DEFECTIVE OR DAMAGED GOODS ONLY Returns are accepted only for factory defective or transit-damaged goods. • Buyers must submit RMA requests within thirty (30) calendar days of delivery. • An official RMA authorization number is required prior to return shipment. • Returns without authorization will be refused. • Items must be returned in original packaging with all labels intact. • Shipping costs are the responsibility of the Buyer unless a verified defect is confirmed.

5. WARRANTY Seller warrants that goods comply with manufacturer’s specifications at the time of shipment only. No additional warranties are expressed or implied.

6. LIMITATION OF LIABILITY Seller’s liability shall not exceed the purchase price of the goods. Consequential, incidental, or indirect damages are excluded.

7. EXPORT COMPLIANCE Buyer agrees to comply with all U.S. export laws including EAR regulations and shall indemnify ATH Electronics Inc. against all violations resulting from misrepresentation or misuse.

8. TITLE & RISK OF LOSS Risk of loss transfers to Buyer upon shipment.

9. GOVERNING LAW These Terms shall be governed by the laws of the State of New York.

10. FORCE MAJEURE Seller shall not be liable for delays beyond its reasonable control.

11. “Customer represents that goods are for civilian end use only and agrees to comply with all U.S. export regulations and reexport restrictions. Customer indemnifies ATH Electronics Inc. against all claims, fines, or penal=es arising from misrepresentation or violation of export laws.”

12. ENTIRE AGREEMENT These Terms constitute the entire agreement between Buyer and Seller.
